Terms of service

These terms of service govern the use of Helping by coaches. They do not apply to your clients. They were last updated on 31 July 2026.
About these terms
By creating a Helping account or using the service, you (the Coach) agree to these terms. They govern your use of Helping. Helping is provided to you by us (Helping).
Your clients are not parties to these terms. They do not create a Helping account, do not agree to these terms, and have no direct agreement with us. Your relationship with your clients is your own. See No responsibility for your clients below, and our privacy policy and data processing agreement.
Definitions
- “you” / “Coach” means the person or organisation that creates a Helping account and uses it to message clients.
- “we” / “Helping” means the business that provides the service.
- “Client” means a person the Coach adds to Helping in order to send them check-ins. A Client is not a user of Helping and has no account.
- “Client Data” means the personal data of Clients that the Coach causes Helping to process (for example names, phone numbers, Telegram identifiers, messages, replies, and engagement metrics).
- “Services” means the Helping platform and related features described at the point of sign-up.
Your account
- You must provide accurate account information and keep it up to date.
- You must keep your sign-in credentials secure and confidential.
- You must be at least 18 years old to use Helping.
- You may hold one account per Coach.
- You are responsible for all activity that takes place under your account, and you agree to notify us promptly of any unauthorised use.
Your responsibilities for your clients
Read this section carefully. It sets out the core of your obligations when you use Helping to message people.
- You are solely responsible for your relationship with your clients and for all communications you send to them through Helping.
- You must have a lawful basis, and any required permission or consent, to message each Client before you add them or send them any check-in. This includes complying with all applicable messaging and telecom laws, including the TCPA (United States), the UK GDPR and EU GDPR together with PECR / the ePrivacy rules, Canada's CASL, Australia's Spam Act, and any equivalent law in the places where your clients are located.
- You must have your own contract or arrangement with each Client, and you are responsible for providing any required disclosures, sender identification, opt-out or unsubscribe mechanisms, and quiet-hours handling for the jurisdictions that apply to you.
- You must only add Clients who have agreed to be contacted by you, and you must honour opt-out requests promptly. Helping provides technical opt-out handling to help you; the legal responsibility remains yours.
- You are responsible for the accuracy of the phone numbers and identifiers you add, and for the content of your check-in messages and templates.
No responsibility for your clients
- Clients are not users of Helping and have no agreement with us. We do not control, endorse, or vet your Clients or your coaching relationship, and we play no part in the substance of your work with them.
- To the maximum extent permitted by applicable law, Helping is not responsible or liable to your Clients. You indemnify Helping against any claims, fines, regulatory action, or complaints arising out of your messaging of Clients, your client relationships, or your failure to obtain proper consent or provide required opt-outs. This indemnity is subject to Indemnity and Limitation of liability below, and nothing in these terms limits any liability that cannot be limited under applicable law.
- You remain the data controller for your Clients' data. See our privacy policy and data processing agreement.
Acceptable use
You agree not to use Helping to:
- send unlawful, abusive, harassing, or unsolicited messages, or to add people without the required permission or consent;
- scrape, harvest, or misuse data, or attempt to reverse-engineer, decompile, or interfere with the service;
- use the service in a way that breaches third-party rights or applicable law.
You must also comply with the acceptable-use and messaging policies of our underlying providers, including Twilio, Telegram, and Stripe. We may suspend or terminate accounts that violate these rules, as described in Suspension & termination.
The services
- We provide the Services on a commercially reasonable basis and work to make them reliable, but we do not guarantee any specific uptime or service level.
- Message delivery depends on third-party carriers and platforms (such as telecoms networks, Twilio, and Telegram) that are outside our control, and we cannot guarantee that every message will be delivered.
- Roadmaps, future features, and channel availability (for example, WhatsApp Business) are not promises and may change.
Billing & plans
Our plans, at the time of writing, are:
- Free — one active client, free forever.
- Starter — $24 per month (or $19 per month billed annually), for up to 10 active clients.
- Pro — $44 per month (or $35 per month billed annually), for up to 50 active clients.
- Business — $87 per month (or $69 per month billed annually), for up to 200 active clients and up to 5 coaches.
Prices are shown in USD, GBP, and EUR, and Stripe handles billing and currency conversion. Every paid plan starts with a 14-day free trial that requires no card.
Founding member lifetime deal
As a launch offer, the first 200 coaches can take Helping lifetime for a single payment of $99. The lifetime deal means:
- lifetime access for as long as Helping operates, on the plan tier equivalent to the one purchased at the time;
- non-transferable, and limited to the founding member's own use;
- no refund obligation beyond your statutory rights; and
- we may withdraw the deal (for example, for abuse or a material breach of these terms), in which case ordinary plan terms would apply.
Cancellation & refunds
- You can cancel at any time.
- Monthly and annual plans stop at the end of the period you have paid for; you retain access until then.
- Nothing in these terms affects any statutory cancellation or refund rights you may have under applicable law.
Client data & termination
You own your Client Data and your content. If you close your account, you can export your data (for example, as a CSV) before termination. After termination, we delete your data in line with the retention periods in our privacy policy (Client Data is kept briefly after removal and then anonymised).
Intellectual property
We own Helping, including the service, its branding, and its software. You own your Client Data and your content, and you grant us only the limited rights needed to provide the service to you.
Confidentiality
Each of us will keep the other's non-public, confidential information confidential, and will use it only to perform under these terms. This obligation does not cover information that is already public or independently developed.
Warranty disclaimer
The Services are provided “as is” and “as available”. To the extent permitted by applicable law, we make no warranties, whether express or implied, about the Services, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability
- To the extent permitted by law, our total liability arising out of or related to these terms or the Services is capped at the amount you have paid us in the 12 months before the claim (or, for the free and founding-member tiers, a nominal amount where no amount has been paid).
- To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or lost-profit damages.
- Nothing in these terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence.
Indemnity
You will indemnify and hold us harmless from claims, damages, fines, and reasonable costs arising from your breach of these terms — in particular from your messaging of Clients, your client relationships, and your failure to obtain proper consent or provide required opt-outs — as described in No responsibility for your clients, subject to the limits in Limitation of liability and to any liability that cannot be limited under applicable law.
Changes to the terms & the service
We may update these terms and the Services from time to time. For material changes, we will give reasonable notice. Your continued use of Helping after a change takes effect means you accept the updated terms.
Suspension & termination
- We may suspend or terminate your access if you breach these terms, including the acceptable-use rules, or if we are required to do so by law or by our providers.
- You may close your account at any time. Clauses that by their nature should survive termination (such as those on liability, indemnity, and confidentiality) will remain in effect.
Governing law & disputes
These terms are governed by the laws of England and Wales. We will both try to resolve any dispute informally first. If we cannot, the courts of England and Wales will have jurisdiction, except where you have mandatory consumer rights to use a different forum.
